This is an important message for all our current NMMBA members. On Friday, April 13, we invite you to join NMMBA's board for a special meeting at Timber Ridge Resort at 6:30pm for a vote on proposed changes to the NMMBA bylaws. These changes are substantial and require a majority vote from current members.

To approve amended and restated Articles and Bylaws for the Northern Michigan Mountain Bike Association. A copy of the proposed Amended and Restated Articles and the proposed Amended and Restated Bylaws are enclosed.
SYNOPSIS/RATIONALE OF THE PROPOSED AMENDED AND RESTATED ARTICLES AND BYLAWS AND THE SPECIAL MEETING:
The Northern Michigan Mountain Bike Association (“NMMBA”) was originally incorporated on March 20, 2012. While the original Articles and Bylaws of the NMMBA were certainly adequate at the time, the NMMBA continues to grow and evolve. The NMMBA is no longer a “chapter” of the IMBA. It has recently become its own independent and charitable 501(c)(3) entity.
Additionally, there were changes to the Michigan Nonprofit Act in 2015 that permit limited liability for the benefit of volunteers and permit electronic voting of members. (Currently, any matter that requires member input must technically be conducted via a meeting and vote.)
These changes necessitate making amendments to the existing Articles and Bylaws. While the Board initially considered making modest amendments, it became apparent that making a complete revision to the Articles and Bylaws would better serve the NMMBA.
WE NEED YOUR HELP! AN AMENDMENT TO THE ARTICLES REQUIRES A MAJORITY VOTE OF THE MEMBERS OF THE NMMBA! IT IS IMPORTANT THAT YOU ATTEND!
